Leonardo DRS is buying Raft for $450M, all cash. Announced Tuesday, and expected to close in Q4. Raft is a McLean-based mission software company - multi-domain data fusion and AI for national security customers, founded in 2018, backed for the past two years by Washington Harbour Partners LP. Everyone has been asking when defense tech's exits would show up. More than $12B has gone into the sector this year against almost nothing coming out. Here's one - and the shape of it is worth reading closely. Leonardo DRS has spent years building out advanced sensing and network computing. What it just bought is the software layer that ties that stack together - CEO John Baylouny called Raft's open-architecture technology and software talent complementary to the sensing and computing capabilities DRS already fields. Plenty of primes have announced they're becoming software companies, but DRS wrote a check for it. The deal is expected to be accretive to adjusted EPS in the first full year of ownership. That sentence does a lot of work - you don't get year-one accretion from a story. Raft has real earnings, and DRS paid a price it can defend to shareholders in an environment where acquirers routinely overpay for narratives. Notice who exited - not one of the megaround names carrying a venture markup, but a 2018-vintage software company that grew mostly out of the spotlight. Raft grew with a single growth investor instead of a VC syndicate. DRS walks through the rationale on its Q2 earnings call today.
